Terms and Conditions

These Terms and Conditions are intended to describe the relationship between CG Signals, LLC and organizations using the CG Signals platform and related services. They should be reviewed by qualified legal counsel before being treated as final legal advice or a substitute for organization-specific legal review.

1. Agreement to Terms

By creating an account, accepting these Terms, subscribing to a CG Signals service plan, or using the CG Signals platform, the customer organization agrees to be bound by these Terms and Conditions.

The person accepting these Terms represents that they are authorized to enter into this agreement on behalf of the organization they identify during signup.

2. About CG Signals

CG Signals, LLC provides software tools, automation support, reporting dashboards, donation-page support, communications support, volunteer-management tools, ticketing tools, and related technology services for nonprofit and mission-driven organizations.

3. Eligibility

CG Signals is designed primarily for nonprofit organizations, including organizations recognized or seeking recognition as tax-exempt under Section 501(c)(3) of the Internal Revenue Code.

CG Signals may request additional information to verify an organization’s identity, authorization, billing status, or eligibility to use the platform.

4. Subscription Services

Customers may subscribe to one of the available CG Signals service levels, including Basic, Standard, or Executive, or other plans that CG Signals may offer from time to time.

The specific features, support levels, pricing, and included services may vary by plan. CG Signals may update package descriptions, features, or pricing for future billing periods with reasonable notice where required.

5. Billing, Payment, and Renewal

Subscription billing is processed through Stripe or another payment processor selected by CG Signals. By subscribing, the customer authorizes recurring billing for the selected plan until the subscription is canceled or terminated.

6. Cancellation

Customers may cancel their subscription according to the cancellation process provided by CG Signals. Cancellation generally prevents future recurring billing but does not automatically refund prior payments.

CG Signals may choose, at its discretion, to provide a courtesy refund, credit, or transition period, but is not required to do so unless required by law or agreed in writing.

7. No Refunds After Provisioning

Once an organization account has been created, configured, provisioned, or made available for use, subscription fees and setup-related charges are generally non-refundable. CG Signals may make exceptions at its sole discretion.

8. Customer Data Ownership

The customer organization retains ownership of the data it submits to CG Signals, including donor records, member records, volunteer information, event information, campaign information, uploaded files, and related organizational data.

CG Signals may process customer data as necessary to provide the platform, support services, reporting tools, integrations, communications tools, billing, security, and operational support.

CG Signals takes reasonable steps to protect customer information and does not sell customer donor, member, volunteer, or contact lists. Sensitive credentials, where stored by CG Signals, should be protected using appropriate technical safeguards.

CG Signals may use trusted service providers, hosting companies, email providers, payment processors, and third-party integrations to operate the platform.

11. Third-Party Services

CG Signals may integrate with or rely on third-party services such as Stripe, email providers, hosting providers, CRM systems, donor platforms, analytics tools, or communication platforms.

CG Signals is not responsible for outages, policy changes, billing decisions, account restrictions, service interruptions, or data-handling practices of third-party providers.

CG Signals will make reasonable efforts to keep the platform available and functional. However, CG Signals does not guarantee uninterrupted, error-free, or completely secure service.

Maintenance, outages, hosting-provider issues, third-party interruptions, internet failures, security events, or emergency work may affect availability.

14. Support

Support availability depends on the customer’s selected plan and any separate written agreement. Unless otherwise agreed in writing, CG Signals does not guarantee 24/7 support or immediate response times.

15. No Legal, Tax, Accounting, or Fundraising Compliance Advice

CG Signals provides technology tools and related support services. CG Signals does not provide legal, tax, accounting, financial, nonprofit compliance, or fundraising-registration advice.

Customers should consult qualified professionals regarding tax filings, fundraising compliance, charitable solicitation registrations, donor-receipt requirements, accounting treatment, privacy obligations, and related legal or regulatory matters.

16. Security

CG Signals will use reasonable administrative, technical, and organizational safeguards designed to protect customer data. However, no system can be guaranteed to be completely secure.

Customers must promptly notify CG Signals of suspected unauthorized access, compromised credentials, or misuse of the platform.

CG Signals may suspend or terminate access if:

Upon cancellation or termination, CG Signals may provide reasonable access to export customer data for a limited period, subject to account status, technical feasibility, and any outstanding payment or security concerns.

CG Signals may delete inactive, canceled, or terminated account data after a reasonable retention period, unless otherwise required by law or agreed in writing.

19. Intellectual Property

CG Signals retains ownership of its software, designs, platform structure, templates, automation logic, dashboards, documentation, branding, code, and related intellectual property.

Customer organizations retain ownership of their own names, logos, content, donor/member data, uploaded files, and organization-specific materials.

20. Limitation of Liability

To the maximum extent permitted by law, CG Signals shall not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost donations, lost revenue, loss of goodwill, data loss, business interruption, or reputational harm.

To the maximum extent permitted by law, CG Signals’ total liability arising out of or related to the services shall not exceed the amount paid by the customer to CG Signals during the twelve months preceding the event giving rise to the claim.

21. Indemnification

The customer agrees to defend, indemnify, and hold harmless CG Signals, LLC from claims, damages, liabilities, costs, or expenses arising from the customer’s misuse of the platform, violation of these Terms, unlawful communications, uploaded data, fundraising activities, or failure to comply with applicable laws.

22. Changes to These Terms

CG Signals may update these Terms from time to time. The version number and effective date will identify the applicable version. Continued use of the platform after updated Terms become effective constitutes acceptance of the updated Terms.

23. Governing Law

These Terms are governed by the laws of the State of North Carolina, without regard to conflict of law principles.
